Terms of Service

These Terms of Service ("Terms") govern your use of the Pharmbells cloud ERP platform ("Service") operated by Hiyan Enterprises Pvt Ltd ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

• "Service" means the Pharmbells cloud ERP platform, including all web applications, APIs, and related services.
• "Customer" means the individual or entity that subscribes to the Service.
• "User" means any individual who accesses the Service under a Customer's account.
• "Customer Data" means all data, content, and information submitted by the Customer or Users to the Service.
• "Subscription" means the paid plan selected by the Customer.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

You must be at least 18 years of age to create an account. By registering on behalf of a business, you represent that you have authority to bind that entity to these Terms.

3. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required for the trial. At the end of the trial period, you must select a paid Subscription to continue using the Service. If you do not subscribe, your account will become read-only.

4. Subscriptions and Fees

4.1 Plans

We offer multiple Subscription plans as described on our Pricing page. All plans include access to the same features. Plans differ in invoice limits, user limits, and pricing structure.

4.2 Billing

• Subscriptions are billed monthly or annually, depending on the plan selected.
• Usage-based charges (e.g., per-invoice fees beyond the included limit) are billed at the end of the billing cycle.
• All prices are in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

4.3 Payment

Payment is due as per the billing cycle of your plan. We accept UPI, debit/credit cards, net banking, and UPI Autopay. Failure to pay within 7 days of the due date may result in your account being restricted to read-only access.

4.4 Price Changes

We may revise our pricing from time to time. Price changes will be communicated at least 30 days in advance via email. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

5. Service Level

5.1 Availability

We strive to maintain high availability of the Service. While we target 99.5% uptime on a monthly basis, this is a goal and not a guarantee. Scheduled maintenance windows will be communicated in advance when possible.

5.2 Support

Support is available via email during business hours (Monday to Saturday, 10:00 AM to 7:00 PM IST). We aim to respond to support requests within 24 business hours.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service for any unlawful purpose or in any manner that could damage, disable, or impair the Service.

7. Customer Data

7.1 Ownership

You retain all rights to your Customer Data. We do not claim ownership of any data you submit to the Service.

7.2 License

You grant us a limited license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service.

7.3 Data Export

You may request a full export of your Customer Data at any time during your active Subscription. We will provide the data in a standard format within a reasonable timeframe.

7.4 Data Retention

Upon cancellation or termination, your Customer Data will be retained for 90 days in read-only mode. After 90 days, your data may be permanently deleted. You may request early deletion by contacting us.

8. Intellectual Property

The Service, including its design, code, features, documentation, and trademarks, is the intellectual property of Hiyan Enterprises Pvt Ltd. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the practices described therein.

10. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Any defects will be corrected within a specific timeframe.
• The Service will meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hiyan Enterprises Pvt Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount paid by you to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Hiyan Enterprises Pvt Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

13.1 By You

You may cancel your Subscription at any time. Cancellation takes effect at the end of your current billing period. See our Refund & Cancellation Policy for details.

13.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms or the Acceptable Use Policy.
• Fail to pay fees within the grace period.
• Engage in fraudulent or illegal activity.

We will provide reasonable notice before termination, except in cases of serious violations.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

16. General

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.
• Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and us.
• No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
